Church California Pro — Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of pro.churchcalifornia.com ("Site"), operated by Church California ("we," "us," "our"). By accessing or using the Site, you ("you," "your") agree to be bound by these Terms. If you do not agree, do not use the Site.

The Site serves licensed hair professionals, wholesale partners, and brand ambassadors. Depending on your role, additional terms may apply as described below.

2. Eligibility

The Site and its services are intended for licensed barbers, stylists, salon owners, and other hair professionals aged 18 or older. By creating an account or placing a wholesale order, you represent that you are at least 18 years old and are authorized to enter into these Terms.

3. Accounts

Certain features of the Site — including wholesale ordering and ambassador tools — require an account. You are responsible for maintaining the confidentiality of your account credentials, keeping your information accurate and up to date, and all activity that occurs under your account. Notify us immediately at pro@churchcalifornia.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts at our discretion, including for violation of these Terms or inactivity.

4. Wholesale Terms

The following terms apply to approved wholesale partners who purchase Church California products for resale.

a. Approval Required. Wholesale pricing and ordering are available only to approved partners. Submitting an application does not guarantee approval. We review and approve wholesale accounts at our sole discretion.

b. Pricing and Payment. Wholesale pricing is confidential and available only to approved partners. Prices are subject to change with reasonable notice. Payment terms will be communicated upon account approval.

c. Minimum Orders. Minimum order quantities or dollar amounts may apply and will be communicated upon approval.

d. Resale Requirements. Wholesale products are for resale in your physical shop or studio only. You may not resell Church California products on third-party online marketplaces (including but not limited to Amazon, eBay, and Walmart Marketplace) without our express written permission. Products must be sold at or above the manufacturer's suggested retail price (MSRP) unless otherwise agreed in writing.

e. Product Integrity. Do not alter, repackage, relabel, or tamper with Church California products in any way. Products must be stored according to any guidelines provided and sold in their original packaging.

f. No Unauthorized Distribution. Do not distribute, transfer, or resell wholesale products to other retailers, distributors, or third parties without our written consent.

g. Returns and Damages. Damaged or defective products should be reported within 14 days of receipt. We will work with you on replacements or credits on a case-by-case basis. We do not accept returns on wholesale orders for buyer's remorse or overstock.

h. Termination. We may revoke wholesale access at any time, for any reason. Upon revocation, you may sell through any remaining inventory already purchased but may not place new orders.

5. Ambassador Program

The Church California Ambassador Program allows approved participants to earn commissions on referred sales. The Program is operated through the GoAffPro platform and is subject to the separate Church California Ambassador Program Terms and Conditions, which are available through the GoAffPro portal and on the Site. By participating in the Ambassador Program, you agree to those additional terms.

6. Intellectual Property

All content on the Site — including text, images, logos, product names, page designs, and brand assets — is the property of Church California or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our express written permission, except as specifically authorized under a wholesale or ambassador agreement.

The Church California name, logo, and all related marks are trademarks of Church California. You may not use our trademarks in any domain name, social media handle, advertising, or public-facing material without written permission.

7. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose.
• Attempt to gain unauthorized access to any part of the Site, other accounts, or any systems or networks connected to the Site.
• Interfere with or disrupt the operation of the Site.
• Scrape, crawl, or use automated tools to collect information from the Site.
• Misrepresent your identity, professional credentials, or your relationship with Church California.
• Share your account credentials or wholesale pricing with unauthorized parties.
• Use information obtained through the Site to compete with Church California or to solicit our customers or partners.

8. Third-Party Services

The Site uses third-party services including Shopify (e-commerce platform), GoAffPro (ambassador program), and various payment processors. Your interactions with these services are subject to their own terms and privacy policies. We are not responsible for the practices or availability of third-party services.

9. Disclaimer of Warranties

The Site and all content, products, and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

10. Limitation of Liability

Church California is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, your wholesale purchases, or your participation in the Ambassador Program. Our total liability for any claim arising under these Terms is limited to the amounts you have paid to Church California in the twelve months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Church California, its affiliates, and their respective employees, officers, and directors from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Site, your violation of these Terms, your resale or promotion of Church California products, or your negligence or willful misconduct.

12. Confidentiality

Wholesale pricing, commission rates, program details, and any other non-public information made available through the Site or related communications are confidential. You may not disclose this information to any third party without our written consent.

13. Modifications

We may update these Terms at any time by posting the revised version on the Site. The "Last updated" date at the top will reflect the most recent revision. Continued use of the Site after changes are posted constitutes acceptance. If a change is material, we will make reasonable efforts to notify you by email.

14. Termination

We may suspend or terminate your access to the Site at any time, for any reason, with or without notice. Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, Confidentiality, and Governing Law — will survive.

15. Governing Law

These Terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of San Francisco, California.
